AMENDMENT AND WAIVER Except as provided herein, no alteration, amendment, variation, or waiver of the terms of this Agreement shall be valid unless made in writing and signed by all Parties except those Parties, if any, who have withdrawn from the Agreement before the amendment is made. 25. SUCCESSORS This Agreement shall bind the successors of the Parties in the same manner as if they were expressly named. 26. INTERPRETATION This Agreement shall be deemed to have been prepared equally by all Parties, and its individual provisions shall not be construed or interpreted more favorably for one Parry on the basis that the other Parties prepared it. 27. ENTIRE AGREEMENT This Agreement, together with the attachment hereto, represents the entire agreement of the Parties as to those matters contained herein. No prior oral or written communications among the Parties shall be of any force or effect with respect to those matters covered hereunder. 28. TIME OF THE ESSENCE Time is of the essence in this Agreement. 29. WAIVER The waiver at any time by any Party of its right with respect to default or other matter arising in connection with this Agreement will not be deemed a waiver by that Party with respect to any subsequent default or matter. 30. GOVERNING LAW This Agreement is governed by and will be interpreted in accordance with the laws of the State of California. 31. COUNTERPART SIGNATURES This Agreement may be executed in counterparts, which taken together constitute one and the same Agreement. A scanned, electronic, facsimile, or other copy of a Party's signature shall be accepted and valid as an original.
