5.A. - Page 239 of 302 <br />EXHIBIT "G" <br />NON -FOREIGN AFFIDAVIT <br />1. Section 1445 of the Internal Revenue Code of 1986, as amended (the "Code"), <br />provides that a transferee of a United States real property interest must withhold tax if the transferor <br />is a foreign person. For U.S. tax purposes (including Section 1445 of the Code), the owner of a <br />disregarded entity (which has legal title to a U.S. real property interest under local law) will be the <br />transferor of the property and not the disregarded entity. <br />2. In order to inform and its nominees, designees and <br />assigns (collectively, "Transferee"), that withholding of tax is not required upon the disposition <br />by , a ("Transferor"), of the United States real <br />property more particularly described on Exhibit A attached hereto and incorporated herein by <br />reference (the "Property"), the undersigned Transferor certifies and declares by means of this <br />certification, the following: <br />a.
