REV: 10-19-23 MI AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES (Local Government Consultants, LLC) This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as of October ___ 2023 (“Effective Date”), by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and Local Government Consultants, LLC, a California Limited Liability Company (“Consultant”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement for Services, dated as of October 9, 2020 (the “Agreement”). B. While the Agreement expired on October 8, 2023, the Parties continued to work together to ensure continuation of service delivery. The Parties now wish to renew implementation of the Agreement as amended by this Amendment No. 1 and authorize payment to Consultant for services rendered for the period from October 9, 2023 to the effective date of this Amendment No. 1. C. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1, including any terms and conditions of the attached Exhibit “A”, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Consultant will provide the additional services set forth in Exhibit “A”, and such services will be considered part of the Services for purposes of the Agreement. 2. City will pay Consultant a not-to-exceed amount of Six Thousand Two Hundred Dollars ($6,200) for the completion of all the services described in Exhibit “A”, which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No. 1, the total amount payable under the Agreement will be a not-to-exceed amount of Twenty-Four Thousand Two Hundred Dollars ($24,200). 3. Unless terminated earlier, the term of this Amendment No. 1 is from October 9, 2023 to October 8, 2024. Including all amendments, through Amendment No.1, the total term of this Agreement is four years from the Effective Date of this Agreement. 4. All other provisions of the Agreement will remain in full force and effect. 5. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment No. 1. ATTY/AGR.2023/Amend.
