REV: 3-20-23 RL AMENDMENT NO. 4 TO AGREEMENT FOR SERVICES (True North Compliance Services, Inc.) This Amendment No. 4 (the “Amendment No. 4”) is entered into and effective as of ________________, 2023 by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and True North Compliance Services, Inc., a California corporation (“Consultant”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that Agreement for Professional Services, dated as of November 6, 2020, (the “Original Agreement”). B. The Parties previously executed Amendment No. 1 to the Original Agreement (“Amendment No. 1”), dated as of June 29, 2021. C. The Parties previously executed Amendment No. 2 to the Original Agreement (“Amendment No. 2”), dated as of May 24, 2022. D. The parties previously executed Amendment No. 3 to the Original Agreement (“Amendment No. 3”), dated as of July 1, 2022 (the Original Agreement and Amendments No. 1, 2, and 3 are collectively known as the “Agreement”). E. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 4, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Consultant a not-to-exceed amount of Five Hundred Thousand Dollars ($500,000) for the completion of all the services described in Exhibit “A” of the Agreement, which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No. 4, the total amount payable under the Agreement will be a not-to-exceed amount of Two Million Six Hundred Thousand Dollars ($2,600,000). 2. Unless terminated earlier, the term of this Amendment No. 4 will be from the Effective Date of this Amendment No. 4 until August 31, 2023. Including all amendments, through Amendment No. 4, the total term of this Agreement is two (2) years and nine (9) months from the Effective Date of the Agreement. 3. All other provisions of the Agreement will remain in full force and effect. 4. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment No. 4.
