REV: 05-27-22 RL AMENDMENT NO. 3 TO AGREEMENT FOR SERVICES West Coast Code Consultants This Amendment No. 3 (the “Amendment No. 3”) is entered into and effective as of _______________ by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and West Coast Code Consultants, Inc., a California corporation (“Consultant”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement for Services, dated as of November 5, 2020, (the “Original Agreement”). B. The Parties previously executed Amendment No. 1 to the Original Agreement (“Amendment No. 1”), dated as of June 29, 2021 and Amendment No. 2 to the Original Agreement (“Amendment No. 2”), dated as of May 24, 2022 (the Original Agreement and Amendments No. 1 and 2 are collectively known as the “Agreement”). C. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 3, including any terms and conditions of the attached Exhibit A, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Consultant a not-to-exceed amount of One Million Four Hundred Thirty Thousand Dollars ($1,430,000) for the completion of all the services described in Exhibit “A” of the Original Agreement, which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No. 3, the total amount payable under the Agreement will be a not-to-exceed amount of Five Million Two Hundred Thirty Thousand Dollars ($5,230,000). 2. Unless terminated earlier, the term of this Amendment No. 3 will be terminated on June 30, 2023. Including all amendments, through Amendment No. 3, the total term of this Agreement is two (2) years and seven (7) months from the Effective Date of the Original Agreement. 3. Exhibit C “Insurance Requirements” of the Original Agreement is hereby replaced in its entirety with a new Exhibit C “Insurance Requirements,” attached hereto as Exhibit A, incorporated herein by reference. 4. All other provisions of the Agreement will remain in full force and effect. 5. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement, as amended by Exhibit A to this Amendment No. 3, will include coverage for this Amendment No. 3.
