8.A. - Page 13 of 51 <br />Section 5. Provisions of the Financing Agreement in Effect. Except as expressly <br />modified herein, all of the provisions of the Financing Agreement shall remain in full force and <br />effect. <br />Section 6. Governing Law. This Fourth Amendment shall be construed and <br />governed in accordance with the laws of the State of California applicable to contracts made <br />and performed in such state. <br />Section 7. Partial Invalidity. If any section, paragraph, sentence, clause or phrase <br />of this Fourth Amendment shall for any reason be held illegal, invalid or unenforceable, such <br />holding shall not affect the validity of the remaining portions of this Fourth Amendment. The <br />parties hereby declare that they each would have entered into this Fourth Amendment and each <br />and every other section, paragraph, sentence, clause or phrase hereof irrespective of the fact <br />that any one or more sections, paragraphs, sentences, clauses, or phrases of this Fourth <br />Amendment may be held illegal, invalid or unenforceable. <br />Section 8. Execution in Counterparts.
