6.C. - Page 13 of 28 <br />5.6. Relocations at Licensee's Request. If Licensee desires to relocate <br />any Equipment from one Municipal Facility to another, Licensee must so advise <br />City by submitting an application for an SLA for the new location. City will use <br />reasonable efforts to accommodate Licensee by making another reasonably <br />equivalent, existing Municipal Facility at the alternative site or sites proposed by <br />Licensee available for use in accordance with and subject to the terms and <br />conditions of this MLA. <br />REV: 12-15-2020 PR <br />5.7. Make Ready. <br />5.7.(1) Make Ready Work and Costs: <br />(a) Licensee shall bear responsibility for all Make Ready <br />Work. If a Person other than Licensee or City would have to <br />rearrange or adjust any of its facilities in order to accommodate new <br />Equipment, Licensee shall be responsible, at Licensee's sole <br />expense, to coordinate such activity. Licensee shall be responsible <br />for directly paying such other Person for its charges for the same. If <br />Licensee is requested by another Person, in comparable <br />circumstances, to relocate or adjust any Equipment to accommodate <br />that Person's facilities, subject to City's written approval of such <br />relocation, Licensee shall reasonably cooperate with such request. <br />(b) Construction, installation, and operation of the <br />Equipment shall be conditioned on the completion of all Make <br />Ready Work needed to establish full compliance with the National <br />Electrical Safety Code, and with City's regulatory rules and <br />engineering standards; provided, however, that Licensee shall not <br />be responsible for any third -party or City costs necessary to correct <br />third party or City attachments that are non-compliant at the time of <br />Licensee's Application. <br />5.7.(ii) Notification of Completion of Installation. Within twenty <br />(20) business days of completing the installation of Equipment on each <br />Municipal Facility, Licensee shall notify City of such completion. <br />5.8. Replacement of Municipal Facilities. <br />5.8.(i) Replacement Facility Approval. <br />Before installation, Licensee shall obtain prior written <br />approval from the City of any Replacement Facility. <br />5.8.(ii) Ownership of Replacement Facilities. <br />City shall own any approved Replacement Facility. Where <br />needed, Licensee shall cooperate with City to transfer <br />ownership and any associated warranties of any Replacement <br />Facility from Licensee to City without charge to City. <br />ATTY/AGR.2020.296/Master License Agreement (Page 9 of 24) <br />106 <br />
