6.B. -Page 81 of 117 <br />A waiver by either Party of any of the covenants, conditions or obligations to be performed <br />by the other Party shall not be construed as a waiver of any subsequent breach of the same <br />or any other covenants, conditions or obligations. <br />20. No Joint Venture. Nothing contained herein shall be construed as creating a joint <br />venture, agency, or any other relationship between the Parties hereto other than that of <br />assignor and assignee. <br />21 <br />Time of the Essence. Time is of the essence in the performance by each Party of <br />its obligations under this Agreement. <br />22. Authority. Each person executing this Assignment represents and warrants that he <br />or she has the authority to bind his or her respective Party to the performance of its <br />obligations hereunder and that all necessary board of directors', shareholders% partners', <br />members', managers', and other approvals have been obtained. <br />23. Counterparts.
