<br />~ <br /> <br />DUPLICATE <br />ORIGINAL <br /> <br />RIGHT OF ENTRY AND LICENSE AGREEMENT <br /> <br />The Right of Entry and License Agreement ("Agreement") is made this 17th day <br />of March 2008, by and between ON BROADWAY INVESTORS, LLC, a Delaware <br />limited liability company ("Owner") and REDWOOD CITY REDEVELOPMENT <br />AGENCY, a public body, corporate and politic, duly organized and existing under the <br />laws of the State of Califomia ("Agency"). <br /> <br />RECIT ALS <br /> <br />A. Owner is the owner of certain real property located at 2107 Broadway / 2115 <br />Broadway and 801 Middlefield, Redwood City, Califomia ("Property"). <br /> <br />B. AGENCY desires a right of entry and license with respect to the Property for <br />the purpose of placing and displaying on Property an art installation, pursuant to the <br />"Phantom Galleries Project" ("Installation"). Artwork will be displayed on free-standing <br />4' by 8' panels and rotated out every other month with new artwork. <br /> <br />C. Subject to the terms and conditions contained hereon, the parties agree to <br />enter into this Agreement to provide AGENCY, its employees, subcontractors, and agents <br />with a temporary right of access and license to, and upon, Property. <br /> <br />NOW, THEREFORE, it is agreed as follows: <br /> <br />1. Right of Entry and License. Owner hereby grants to AGENCY, its <br />employees, subcontractors and agents, during the Term (as defined below) hereof (a) a <br />right of entry onto the Property for the purpose of placing and removing the Installation; <br />and (b) a license to maintain the Installations conducting the necessary maintenance and <br />related service to the Installation on the Property, and (c) a license to hold an artist's <br />reception celebrating the artwork ("Entry and License Rights"). The purpose of <br />providing for a public display of the Installation. The Installation shall only be placed in a <br />location on the Property that has been approved by the Owner. <br /> <br />2. Term. The Entry and License Rights shall be effective for the period (the <br />"Term") commencing on March 17,2008 and ending on March 31, 2009. Owner shall <br />have the right to tenninate the Entry and License Rights prior to the expiration of the <br />Tenn for any reason with a ten (0) day written notice to AGENCY. <br /> <br />3. Association Covenants. While entering the property, AGENCY, its <br />employees, subcontractors and agents shall use its best efforts to minimize any adverse <br />impacts to the Property and any occupants of the Property. AGENCY shall comply with <br />all applicable laws, ordinances, codes and regulations of federal, state and local <br />governments with respect to its activities on the Property. <br /> <br />4. Removal or Alterations of Installments.
