Project records subject to this provision include: records relating to preparation of Contractor's price quote; project cost and accounting records; project employment records; and all notes, daily logs and memoranda relating to the Work. Contractor's cost and accounting records must include all supporting documentation, including original purchase orders, receipts, invoices, and payroll records, evidencing its direct costs to perform the Work, including, but not limited to, costs for labor, materials and equipment. Contractor must continue to maintain its project records in an organized manner, according to generally accepted accounting principles, for a period of four (4) years after City's acceptance of the Project or following Contract termination, whichever occurs first. Subject to prior notice to Contractor, City is entitled to inspect or audit any of Contractor's records relating to the project during Contractor's normal business hours. Contractor must also provide copies of the project records to City upon request. 17. Copyrights. Contractor agrees that all copyrights that arise from the Work will be vested in City, and Contractor relinquishes all claims to the copyrights in favor of City. 18. Notices. The name of the persons who are authorized to give written notices or to receive written notice on behalf of City and on behalf of Contractor under this Agreement. Each party will notify the other immediately of any changes of address that would require any notice or delivery to be directed to another address. 19. Conflict of Interest. If disclosure under the Political Reform Act and City's Conflict of Interest Code is required of Contractor or any Contractor Personnel, Contractor or Contractor Personnel will complete and file with the City Clerk the Statement of Economic Interests Form 700. Contractor, for Contractor and on behalf of all Contractor Personnel, warrants by execution of this Agreement that they have no interest, present or contemplated, in the projects affected by this Agreement. Contractor further warrants that neither Contractor, nor any Contractor Personnel have any ancillary real property, business interests or income that will be affected by this Agreement or, alternatively, that Contractor will file with City an affidavit disclosing this interest. 20. General Compliance with Laws. Contractor will keep fully informed of federal, state and local laws and ordinances and regulations which in any manner affect those employed by Contractor, or in any way affect the performance of the Work by Contractor.
