REV: 12-13-23 MI <br />AMENDMENT NO. 3 TO AGREEMENT FOR SERVICES <br />SOLitude Lake Management, LLC <br />This Amendment No. 3 (the “Amendment No. 3”) is entered into and effective as <br />of December 28, 2023, by and between the City of Redwood City, a charter city and <br />municipal corporation of the State of California (“City”), and SOLitude Lake Management, <br />LLC, a Virginia limited liability company (“Contractor”) (collectively, the “Parties”). <br />RECITALS <br />A. The Parties previously executed that certain Agreement for Services, dated <br />as of December 28, 2020, (the “Original Agreement”). <br />B. The Parties previously executed Amendment No. 1 to the Original <br />Agreement (“Amendment No.1”), dated as of August 4, 2021. <br />C. The Parties previously executed Amendment No. 2 to the Original <br />Agreement (“Amendment No. 2”), dated as of December 28, 2022 (the “Original <br />Agreement” and “Amendments Nos. 1 & 2” are collectively known as the “Agreement”). <br />D. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 3, including any terms and conditions of the attached Exhibit <br />“A”, incorporated by reference herein. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. City will pay Contractor a not-to-exceed amount of One Hundred Ninety- <br />Two Thousand Nine Hundred Thirty-Eight Dollars ($192,938) for the completion of all the <br />services per the fee schedule in attached Exhibit “A”, which sum will include all costs or <br />expenses incurred by Contractor. Including all amendments through Amendment No. 3, <br />the total amount payable under the Agreement will be a not-to-exceed amount of Seven <br />Hundred Twenty-Six Thousand Six Hundred Eighty-Eight Dollars ($726,688). <br /> <br />2. Unless terminated earlier, the term of this Amendment No. 3 will be a period <br />of one year from the effective date of this Amendment No. 3. Including all amendments, <br />through Amendment No. 3, the total term of this Agreement is four years from the Effective <br />Date of this Agreement. <br />3. All other provisions of the Agreement will remain in full force and effect. <br />4. All requisite insurance policies to be maintained by Contractor pursuant to <br />the Agreement will include coverage for this Amendment No. 3. <br />5.
