1.2. "Base Solution" means the components defined in Exhibit "E" in the <br />section titled "System Component Group 1: Base Solution". <br />1.3. "City Data" means all data created by or in any way originating with the <br />City, all data that is the output of computer processing of or other electronic <br />manipulation of any data that was created by or in any way originated with the City, <br />whether such data or output is stored on the City's hardware, Contractor's <br />hardware or exists in any system owned, maintained or otherwise controlled by the <br />City or by Contractor, and all raw electronic data or information collected and <br />stored by Contractor, in Contractor, in any case excluding City Solution Data. <br />1 A. "City Identified Contact" means the person or persons designated in <br />writing by the City to receive Security Incident or Data Breach notification, and shall <br />initially be the person listed in Section 25. <br />1.5. "City Solution Data" means data entered by the City into the Services <br />in order to operate the Services for the City, or data generated by the operation of <br />the Services for the City. <br />1.6. "Connectivity Charges" means the costs incurred by Contractor to <br />provide Internet connectivity for the hardware devices purchased by the City under <br />this Agreement that are necessary to provide the Services to the City. <br />1.7. "Data Breach" means the unauthorized access by a non -authorized <br />person/s that results in the use, disclosure or theft of Personal Data or Non -Public <br />Data. <br />1.8. "Final System Acceptance" means the date of achieving Final System <br />Acceptance as defined in 3.3.E of the Functional Specifications, with respect to the <br />Initial Order, and with 3.3.0 amended to replace any references to 30 days with a <br />reference to 7 days. <br />1.9. "Functional Specifications" means the Automated Parking Guidance <br />System (APGS) and Wayfinding Functional Specifications that begin on Page 38 <br />of the City of Redwood City APGS / Wayfinding Request for Proposals document. <br />1.10. "Hardware" means the physical goods that are sold under this <br />agreement by Contractor to the City as delineated in Exhibit E. Hardware include <br />but is not limited to, Cleverciti Sensors, Signs, and Cires and EnSight cameras. <br />1.11. "Initial Order" means the System Component Groups that are covered <br />by the first Notice to Proceed issued by the City per 9.1.
