Monthly fee of $9,990 (nine -thousand nine -hundred and ninety dollars) starting from the date of Substantial Completion and continuing throughout the Initial Term of this Agreement and any Renewal Terms, plus Connectivity Charges and any applicable Sales Tax. Fees for each calendar year of services shall be billed in advance at the beginning of the calendar year. In the case of the first calendar year, the fees for the months between the date of Substantial Completion and December 31st of that year shall be billed at Substantial Completion, calculated on a pro -rata basis for the month in which Substantial Completion occurs. The monthly fee includes Warranty Labor. All Hardware is provided to City on a rental basis for the term of this Agreement. Contractor shall retain title and ownership of the Hardware. City shall be responsible for insuring the installed Hardware. In the event this Agreement is terminated, City is responsible for returning the Hardware to Contractor within 60 days of the date of termination. With the above SaaS model, Contractor will retain ownership and responsibility for any hardware or software provided as part of the services. Hardware upgrades deemed necessary by Contractor are included in the price. This unique model significantly reduces the up -front capital expense and provides an all-inclusive feature -rich solution for the term of the Agreement. In the event City wishes to transition to a traditional hardware purchase model, City may do so after a minimum of 24 months of service under the SaaS model described herein. City must provide at least 60 days written notice of the intent to make such a change. The amount of the Hardware Purchase and SaaS Transition Fee shall be in addition to the not -to -exceed values defined in 8.1 of this Agreement. Upon receipt of the Hardware Purchase and SaaS Transition Fee, title and ownership of the Hardware shall transfer to City, and Contractor's obligation to provide hardware upgrades shall end.
