REV: 11-18-21 RL AMENDMENT NO. _1_ TO AGREEMENT FOR SERVICES CodeRight Inc. This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as of November _____, 2021, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and CodeRight Inc., a Massachusetts corporation (“Consultant”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement for Services, CodeRight Inc., dated as of January 25, 2021, (the “Agreement”). B. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1, including terms and conditions of the attached Exhibit A, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Consultant will provide the additional services set forth in Exhibit “A”, and such services will be considered part of the Services for purposes of the Agreement. 2. City will pay Consultant an amount not to exceed Thirty Thousand Dollars ($30,000) for the completion of all the services described in Exhibit “A”, which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No. 1, the total amount payable under the Agreement will not exceed an amount of Fifty Thousand Dollars ($50,000). 3. Unless terminated earlier, the term of this Amendment will be a period of 6 months from the effective date of this Amendment. Including all amendments, through Amendment No.1, the total term of this Agreement is from January 25, 2021 through 6 months from the Effective Date of this Amendment. 4. Consultant will complete all work described in Exhibit “A” within 6 months of the execution date of this Amendment, provided that the City may grant extensions consistent with the extension provisions set forth in the Agreement. 5. All other provisions of the Agreement will remain in full force and effect. 6. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment. 7. The individuals executing this Amendment and the instruments referenced in it on behalf of Consultant each represent and warrant that they have the legal power, right and actual authority to bind Consultant to the terms and conditions of this ATTY/AGR.2021/Amend.
