6.B. - Page 7 of 113 <br />ARTICLE I <br />DEFINITIONS; EXHIBITS <br />1.1 Incorporation of Recitals. The Parties acknowledge the truth of the foregoing <br />recitals which are hereby incorporated into this Agreement by this reference. <br />1.2 Definitions. The following terms shall have the meanings set forth in the Sections <br />referenced below whenever used in this Agreement and the Exhibits attached hereto. Additional <br />terms are defined in the Recitals and text of this Agreement. <br />"Affordable Housing Cost" is defined in the Regulatory Agreement. <br />"Applicable Laws" is defined in Section 5.15. <br />"Area Median Income" is defined in the Regulatory Agreement. <br />"Certificate of Completion" is defined in Section 5.12. <br />"City" means the City of Redwood City, a charter city and municipal corporation. <br />"City Council" means the City Council of the City of Redwood City. <br />"City Documents" means collectively this Agreement, the Deed of Trust, and the <br />Regulatory Agreement. <br />"City's Authorized Representative" means the City Manager of the City of <br />Redwood City or his or her designee. <br />"City's Permitted Exceptions" is defined in Section 4.3(g). <br />"Claims" is defined in Section 5.14. <br />"Closing Date" or "Close of Escrow" means the date that escrow closes for the <br />recordation of the Regulatory Agreement and the Deed of Trust. <br />"Conditions of Approval" is defined in Section 5.4. <br />"Construction Plans" is defined in Section 5.6. <br />"Deed of Trust" is defined in Section 6.1. <br />"Developer" means Habitat for Humanity Greater San Francisco, Inc., a <br />California nonprofit public benefit corporation. <br />"Eligible Household" is defined in the Regulatory Agreement. <br />"Environmental Laws" is defined in Section 7.6.2. <br />REV: 01-22-21 PR <br />20 <br />ATTY/AGR.2020.305/Habitat for Humanity Greater San Francisco (Grant Agreement w/ Exhibits) (Page 3 of 109) <br />
