6.B. - Page 56 of 113 <br />hereto and incorporated herein by this reference, and the Grant Agreement, contains the <br />entire agreement of the Parties with respect to the subject matter hereof, and supersedes all <br />prior oral or written agreements between the parties with respect thereto. <br />16.12 No Agency Relationship. Nothing in this Agreement is intended to or shall <br />establish the parties as partners, co -venturers, or principal and agent with one another. City <br />neither undertakes not assumes any responsibility or duty to Developer (except as <br />expressly provided in this Agreement) or to any third parry with respect to the Project. <br />Developer and its agents and employees shall at no time pretend to be or hold themselves <br />out as employees or agents of City. <br />16.13 Counterparts.
