6.A. - Page 5 of 9 <br />AMENDMENT NO. 7 <br />TO <br />AGREEMENT FOR SERVICES <br />(CSG Consultants, Inc.) <br />This Amendment No. 7 (the "Amendment No. 7") is entered into and effective as <br />of the day of , 2021, by and between the City of Redwood City, a <br />charter city and municipal corporation of the State of California ("City"), and CSG <br />Consultants, Inc., a California corporation ("Consultant") (collectively, the "Parties") for <br />on-call construction inspection services. <br />RECITALS <br />A. The Parties previously executed that certain Agreement for Professional <br />Services — CSG Consultants, Inc., dated as of February 20, 2018, .(the "Original <br />Agreement"). <br />B. The Parties previously amended the Original Agreement by executing <br />Amendment No. 1 (dated May 11, 2018), Amendment No. 2 (dated October 5, 2018), <br />Amendment No. 3 (dated December 19, 2018), Amendment No. 4 (dated May 23, 2019), <br />Amendment No. 5 (dated November 15, 2019), and Amendment No. 6 (dated August 24, <br />2020). The "Original Agreement" and Amendments No. 1, 2, 3, 4, 5, and 6 are collectively <br />known as the "Agreement." <br />C. The Parties have negotiated and agreed to additional on-call construction <br />inspection service, the payment for which would exceed the maximum dollar amount of <br />this agreement. <br />. NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. In exchange for additional on-call construction inspection services <br />described in Exhibit "A" of the Original Agreement, the City will pay Consultant a not -to - <br />exceed amount of Five Hundred Thousand and No/100 Dollars ($500,000.00), which sum <br />will include all costs or expenses incurred by Consultant. Including all amendments <br />through Amendment No. 6, the total amount payable under the Agreement will be a not - <br />to -exceed amount of Two Million Twenty Seven Thousand Six Hundred and No/100 <br />Dollars ($2,027,600.00). <br />2. All other provisions of the Agreement will remain in full force and effect. <br />3. All requisite insurance policies to be maintained by Consultant pursuant to <br />the Agreement will include coverage for this Amendment. <br />4.
