<br />EXHIBIT D <br /> <br />INFRASTRUCTURE AND FINANCING PLAN <br /> <br />Peninsula Park <br /> <br />This Infrastructure and Financing Plan (this "Plan") dated as of February 13, 2008 (the <br />effective date of the Ordinance adopting the Agreement (defined below) and hereafter, the <br />"Effective Date") constitutes the Infrastructure and Financing Plan for the Project (the <br />"Project") described in that certain Development Agreement (the "Agreement") dated as of the <br />Effective Date and executed by and between R.C. Peninsula Park, LLC, a Delaware limited <br />liability company ("Developer") and the City of Redwood City, a municipal corporation of the <br />State of California ("City"). Developer and City are collectively referred to herein as the <br />"Parties." Capitalized terms used herein without definition shall have the meaning ascribed to <br />such terms in the Agreement. <br /> <br />1. Purpose. <br /> <br />This Plan identifies public improvements and infrastructure (collectively, the <br />"Improvements") required to serve the Project and other property in the surrounding area, <br />describes the phasing for construction of such Improvements relative to the development of the <br />Project, and describes potential methods of financing such Improvements through a combination <br />of Developer contributions, tax-exempt financing, state and federal assistance, development fees <br />and other financing mechanisms, including possible advances of funds by Developer, subject to <br />reimbursement as set forth herein. <br /> <br />2. "Zone B" Improvements. <br /> <br />Developer will be responsible for the funding or the construction and installation of the <br />Improvements listed in this Section 2 (the "Zone B Improvements") each as identified on the <br />East 101 Public Infrastructure Plan attached hereto as Attachment 1 and as described in the East <br />101 Public Infrastructure Requirements schedule attached hereto as Attachment 2, and subject to <br />partial reimbursement from other Zone B property owners based on the EDU allocation <br />methodology. set forth in Attachments 1 and 2: <br /> <br />B-SS3 <br />B-SS2 <br />B-SS1 <br />B-RW1 <br />B-W1 <br />B-W2 <br /> <br />Sanitary Sewer Line <br />Sanitary Sewer Line <br />Sanitary Sewer Line <br />Recycled Water Line <br />Potable Water Line <br />Potable Water Line <br /> <br />2.1 Phasing for "Zone B" Improvements.
