6.1 G <br /> Page 19 <br /> ATTACHMENT 2 <br /> of money under the applicable provisions hereof, in the event and sa iong as the <br /> performance af any such obiigatian is prevented or delayed, retarded or hindered <br /> by any of the following (sometimes called "Force Majeure" in this Agreement}: <br /> fire, earthquake, floods, explosion, actions of the elements, war, invasion, <br /> insurrection, riat, mob violence, sabotage, inability ta procure or general shortage <br /> of labor, equipment, fransportatian, strikes, {ockouts, action of iabor unions, laws, <br /> orders or moratori�ms of govemmental or civil o� military or naval authorities, or <br /> any other cause, whether similar or dissimilar to the foregoing, not within the <br /> control of such party. In the event of a "force majeure," either Pariy may <br /> terminate this lease within twenty-four (24) hours after delivering notice to the <br /> ofher parry as provided in Sec. 28.8. <br /> 28.11 Further Assurances. Lessor and Lessee shali execute, on request, al! other <br /> doc�.iments and instruments as the other party shall reasonably request, which <br /> are ceasonably required ta carry out obligations imposed under, and af#ect the <br /> purposes af,this Agresment. <br /> 28.12 Countemarts: Facsimile. This Agreement may be executed by facsimile andlor <br /> in one or more counterparts, each of which shai! be deemed an original, and all <br /> of which faken together shall constitute one and the same instrument. <br /> 28.13 Goveminq Law. This Lease shall be governed and canstrued in acco�dance with <br /> tMe sta#utes and laws of the State of California. <br /> 28.94 Venue. In the evenf that suit shail be braught by any Party to this Lease, #he <br /> Parties agree that venue shall be exclusfvely vested in the State courts af the <br /> Coun#y of San Mateo. <br /> 28.15 Accord and Satisfaction. Na payment by Lessee or receipt by Lessor of a lesser <br /> amount than the rent iierein stipulated shafl be deemed to be other than on <br /> account of the earliest stipulated rent, nar shatl any endorsernent ar statement on <br /> any check or any letter accompanying any check or payment as rent be deemed <br /> and accord and satisfaction, and Lessar may accept such check or payment <br /> withaut prejudice to Lessor's right to recover the baiance of such rent o� pursue <br /> any other remedy in this Agreement provided. <br /> 28.'f6 Permits and Approvals. All govemment permits or approvals are required. <br /> Approval by Lessor of any action requiring approval does not constitute approval <br /> by the City of Redwood Cify of any required permits or applications, and in no <br /> way Eimits the discretion of the City in the permit, regulatory, and approva! <br /> process. Lessor and Lessee wi1) render to each othe� reasvnable assisfance in <br /> obtaining necessary City and other governmentat permits or approvals. <br /> Any consent or approval of the City of Redwtiod Cfty for any permit, application, <br /> or regulatory matter does not constitute cansent or appravai by the Lessor under <br /> the terms of this lease. <br /> 29. lNSURANCE REQUIREMENTS <br /> 29.1 Prior to the opening date, Lessee must provide Lessor the folfowing insurance <br /> requirements.
