<br />equally by the Parties. If a mediated settlement is reached, neither Party shall be deemed the <br />prevailing party for purposes of the settlement, and each Party shall bear its own legal costs. <br />13. Entire Agreement. <br />This Agreement, including Exhibit A, comprises the entire Agreement. <br />14. Indemnity. <br />City shall defend, indemnify and hold BAWSCA, its member agencies, and their <br />respective officers and employees ("Indemnitees") harmless from any and all claims and <br />liabilities related to or as a result of City's performance of this Agreement, to the extent the <br />claims or liabilities are caused by the City's negligent acts, or willful wrongful acts. In addition, <br />City shall indemnify, defend, and hold harmless the Indemnitees against any and all claims and <br />liabilities arising from the infringement of intellectual property rights that may occur, or that may <br />be alleged to have occurred, from the City's performance under this Agreement. <br />15.
