<br />5.3C <br />Exh ibit A Page 4 <br /> <br />JOINT EXERCISE OF POWERS AGREEMENT <br />SOUTH SA YSIDE SYSTEM AUTHORITY <br /> <br />Supplemental AQreement V <br /> <br />THIS AGREEMENT, dated for convenience as of , _' 2008, by <br />and between the CITY OF BELMONT ("Belmont"), a general law City, the CITY <br />OF REDWOOD CITY ("Redwood City"), a chartered City, the CITY OF SAN <br />CARLOS ("San Carlos"), a general law City, and WEST BAY SANITARY <br />DISTRICT ("West Bay"; formerly named the Menlo Park Sanitary District), a <br />sanitary district, each duly organized and existing in the County of San Mateo, <br />State of California, under the Constitution and laws of the State and collectively <br />called the "Agencies"; <br /> <br />WIT N E SSE T H: <br />WHEREAS, the Agencies have heretofore entered into an agreement <br />dated November 13, 1975, entitled "Joint Exercise of Powers Agreement - South <br />Bayside System Authority" ("Agreement"), and four Supplemental Agreements <br />thereto dated for convenience as of June 8, 1977, June 1, 1983, April 26, 1984 and <br />September 18, 1985, respectively; and <br />WHEREAS, Section 3.5 of the Agreement sets forth the powers of the <br />Manager of the Authority; and <br />WHEREAS, the monetary limitations upon Manager's authority to enter <br />into contracts for capital costs, costs of special services, equipment, materials, <br />supplies, maintenance or repair or any contract with any consultant and to <br />approve demands for payments in said section are unnecessarily low taking into <br />consideration economic changes that have occurred since the limitations were <br />originally established; and <br />WHEREAS, the Agencies desire to amend the aforesaid limitations in the <br />interests of efficiency, economy and convenience in the operation of the <br />Authority; <br /> <br />SBSAResPropsngJPASuppV031308r <br />
