<br />of the Work. Pursuant to the provisions of Section 1770 of the Labor Code of the State of <br />California, the City Council of the City of Redwood City has obtained the general prevailing rate <br />of wages and employer payments for health and welfare, vacation, pension and similar <br />purposes in the City, a copy of which is on file in the office of the City Engineer, and shall be <br />made available for viewing to any interested party upon request. <br /> <br />8. Tango's attention is directed to the provisions in Section 1777.5 and 1777.6 of <br />the Labor Code concerning the employment of apprentices by Tango or any subcontractor <br />under Tango. It shall be the responsibility of Tango to effectuate compliance on the part of itself <br />and any subcontractors with the requirements of said sections in the employment of <br />apprentices. Information relative to apprenticeship standards, wage schedules, and other <br />requirements may be obtained from the Director of Industrial Relations, ex-officio the <br />Administrator of Apprenticeship, San Francisco, California, or from the Division of <br />Apprenticeship Standards and its branch offices. <br /> <br />9. Tango or subcontractor shall, as a penalty to the state or political subdivision on <br />whose behalf the agreement is made or awarded, forfeit twenty-five dollars ($25) for each <br />worker employed in the execution of the agreement by Tango or subcontractor for each <br />calendar day during which the worker is required or permitted to work more than 8 hours in any <br />one calendar day and 40 hours in anyone calendar week in violation of the provisions of this <br />article. <br /> <br />10. The Parties agree that in entering into this Agreement, they are not relying on <br />any representations or promises not contained in this Agreement. This Agreement contains the <br />entire agreement of the Parties and supersedes any prior agreement or agreements the Parties <br />may have regarding this matter. The Parties agree that they have had a full opportunity to <br />consult with attorneys, accountants, tax accountants, or other advisers before entering into this <br />Agreement. <br /> <br />11. The Parties further specifically agree that the general rule of construction is that <br />ambiguities in the drafting of a document are to be resolved against the drafting party and that <br />this general rule of construction shall not apply to the interpretation of this Agreement. <br /> <br />12. This Agreement may be executed in counterparts. <br /> <br />13. Production and installation of the Project are the obligations of Tango with no <br />participation by the Agency. Ownership of the Project and maintenance responsibilities shall <br />solely be the responsibility of Agency. Tango is an independent contractor of the Agency. <br /> <br />14. Except as expressly set forth above, it is the intention of the parties in executing <br />this Agreement and in paying and receiving the consideration called for by this Agreement that <br />this Agreement shall be effective as a full and final accord and satisfaction and mutual general <br />release of and from all Released Matters. <br /> <br />In consideration of the above terms, Tango, its successors, attorneys, insurers, brokers, <br />principals, officers, directors, shareholders, partners, guarantors, agents, employees, and <br />contractors release and discharge the Agency and the City of Redwood City ("City") and their <br />officers, agents, employees and volunteers from any and all claims, demands, losses, <br />expenses, damages, liabilities, actions, and causes of action of any nature that in any manner <br />may arise from or relate to the performance of the Services. <br /> <br />Settlement Agr Tango Graphics <br />041508 <br /> <br />2 <br />
