16.2.1 For Commercial General Liability Insurance and Automobile Liability Insurance, Agency and City, their officers, agents, volunteers and employees will be named as additional insureds. 16.2.2 Tango will obtain occurrence coverage, excluding Professional Liability, which will be written as claims-made coverage. 16.2.3 This insurance will be in force during the life of the Agreement and any extensions of it and will not be canceled without thirty (30) days prior written notice to Agency sent pursuant to the Notice provisions of this Agreement. 16.3 Providino Certificates of Insurance and Endorsements. Prior to Agency's execution of this Agreement, Tango will furnish certificates of insurance and endorsements to Agency. 16.4 Failure to Maintain Coveraoe. If Tango fails to maintain any of these insurance coverages, then Agency will have the option to declare Tango in breach, or may purchase replacement insurance or pay the premiums that are due on existing policies in order to maintain the required coverages. Tango is responsible for any payments made by Agency to obtain or maintain insurance and Agency may collect these payments from Tango or deduct the amount paid from any sums due Tango under this Agreement. 16.5 Submission of Insurance Policies. Agency reserves the right to require, at anytime, complete and certified copies of any or all required insurance policies and endorsements. 16.6 Primary Coveraoe. For any claims related to the Services and this Agreement, the Tango's insurance coverage will be primary insurance with respect to Agency and City, their officers, agents, volunteers and employees. Any insurance or self-insurance maintained by Agency and City for themselves, their officers, agents, volunteers and employees, will be in excess of Tango's insurance and not contributory with it. 16.7 Reduction in Coveraoe/Material Chanoes. Tango will notify Agency thirty (30) days prior to any reduction in any of the insurance coverage required pursuant to this Agreement or any material changes to the respective insurance policies. 17. This release extends to and includes all claims, liabilities, injuries, damages, and causes of action that Tango does not presently anticipate, know, or suspect to exist, but that may develop, accrue, or be discovered in the future. 18. Tango certifies that Tango has read Section 1542 of the Civil Code as set froth below, and hereby waives and releases all rights under California Civil Code section: A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM MUST HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITH DEBTOR.
