<br />6.18 <br />Page 4 of 12 <br /> <br />the mutual written agreement of said Parties. <br />Where in conflict, the terms of this Agreement supersede and prevail over any terms <br />set forth in Exhibit A. . <br /> <br />2. Term of Agreement. <br />The term of this agreement shall be for three years, commencing July 1, 2008 and <br />shall expire on June 30, 2011, or until terminated by sixty (60) days prior written notice by either <br />party. <br /> <br />3. Compensation. <br />The normal business hours hourly rate for the fiscal year 2008"09 (July 1, 2008 <br />through June 30, 2009) for services by RWC under this Agreement shall be $127.71. This rate <br />shall be adjusted annually, beginning July 1 of each subsequent year, for the life of this <br />agreement, at a rate increase not to exceed six percent (6%) and not to be less than four percent <br /> <br />(4%). <br /> <br />4. Effective Date of Agreement. <br />This Agreement becomes effective on July 1, 2008. <br />5. Reliance of Professional Skill of RWC. <br />RWC represents that it has the necessary professional skills to perform the services <br />required and EPA shall rely on such skiJJs of RWC to do and perform the work. <br />6. Relationship of Parties. <br />It is understood that the relationship of RWC to EPA is that of an independent <br />contractor and all persons working for or under the direction of RWC are its agents or employees <br />and not agents or employees of EPA. <br />7.
