Box 391 <br />Redwood City, CA 94064 <br /> <br />EXEMPT FROM RECORDING FEES <br />PURSUANT TO GOV. CODE SEC. 6103 <br /> <br />Space Above This Line for Recorder's Use <br /> <br />GRANT OF EASEMENT <br /> <br />Westport Office Park, LlC, a California limited liability company ("Grantor"), <br />hereby grants to the City of Redwood CitY"a chartered municipal corporation of <br />the State of California ("Grantee"), on the terms and conditions set forth in this <br />Grant of Easement a perpetual non-exclusive easement for the purpose of <br />installing and operating recycled water, water and sanitary sewer pipes and <br />facilities within the Easement Area, as defined below, including the incidental <br />rights of ingress and egress to and from the Easement Area, and the right to <br />excavate, install, replace (in the initial or any other reasonable size), maintain, <br />repair, and use the water (whether potable or recycled), sanitary sewer, and <br />recycled water pipes and facilities together with appurtenances thereto, as the <br />City of Redwood City shall from time to time elect, in and over the Easement <br />Area. The Easement Area is a portion of the property described in Exhibit A, <br />attached hereto and made a part hereof ("the Westport Property"). The <br />Easement Area is specifically described in Exhibits Band C, attached hereto and <br />made a part hereof. <br /> <br />Grantor agrees not to construct or grant permission to any party to construct any <br />permanent or semi-permanent improvements under, in or on the Easement Area <br />which would unreasonably interfere with the use of the easement rights granted <br />under this Grant of Easement. <br /> <br />Grantor further grants to Grantee a right of entry onto the entire Westport <br />Property as reasonably necessary for purposes of connecting additional meters <br />to the system installed by Grantee and Grantor, testing recycled water system <br />connections, training of Grantor's representatives in system operation and <br />maintenance, placing appropriate signage regarding recycled water, and for <br />responding to recycled water emergencies or system emergency conditions such <br />as but not limited to handling ponding of recycled water or other potential <br />comingling of recycled water with other water sources. Grantee shall indemnify <br />and hold Grantor, its members, managers, lenders, agents. employees, officers, <br />successors and assigns, and the Westport Property free and harmless from and <br />against any and all claims, actions, causes of action, suits, obligations, liens, <br /> <br />PREII0052.2159_5 <br /> <br />- 1 - <br />
