<br />6.2A <br />Page 5 of 10 <br /> <br />AGREEMENT <br />SALES TAX INFORMATION NONDISCLOSURE <br /> <br />This Non-disclosure Agreement (the "Agreement") is entered into, <br /> <br />day of <br /> <br />, 2008, by and between the City of Redwood City, a charter city and <br /> <br />municipal corporation of the State of California (the "Disclosing Party") and Strategic <br /> <br />Economics, located at 2991 Shattuck Avenue, Suite 203, Berkeley, California 94705 <br /> <br />(the "Receiving Party") for the purpose of preventing the unauthorized disclosure of <br /> <br />Confidential Information as defined below. The parties agree to enter into a confidential <br /> <br />relationship with respect to the disclosure of certain proprietary and Confidential <br /> <br />Information ("Confidential I nformation"). <br /> <br />WITNESSETH: <br />WHEREAS, Receiving Party is preparing a new General Plan for Redwood City; <br /> <br />and <br /> <br />WHEREAS, a portion of the new General Plan will consist of an economic <br /> <br />analysis which Receiving Party will prepare; and <br /> <br />WHEREAS, Receiving Party will be using parcel based property and sales and <br /> <br />use tax data to calculate the current fiscal performance of all non-residential areas <br /> <br />within the City of Redwood City; and <br /> <br />WHEREAS, the property and sales and use tax data will be used to identify <br /> <br />areas within Redwood City that are likely to experience significant economic changes <br /> <br />over time depending upon various land use scenarios; and <br /> <br />WHEREAS, in order for Receiving Party to utilize sales and use tax data, <br /> <br />compliance with the California Revenue and Tax Code is required. <br /> <br />Atty/Agr/2008.040 <br />060308 <br />
