AMENDMENT NO. 2 TO EXTEND AND AMEND <br /> AGREEMENT FOR <br /> INFORMATION TECHNOLOGY SUPPORT BETWEEN THE CITY OF REDWOOD <br /> CITY AND THE CITY OF EAST PALO ALTO <br /> This Amendment No. 2 is entered into and effective as of the I STday of <br /> ����/ , 2014, extending and amending the agreement dated July 1, 2008 <br /> (the "Agreement") by and befinreen the City of Redwood City, a charter city and <br /> municipal corporation of the State of California ("Redwood City"), and the City of East <br /> Palo Alto, ("EPA") a municipal corporation of the State of California (collectively, the <br /> "Parties") for Information Technology Support. <br /> RECITALS <br /> i <br /> A. On July 1, 2008, the Parties executed a three-year Information <br /> Technology Support Agreement for Redwood City to provide Information Technology <br /> Support services to EPA, with a contract term through June 30, 2011; and <br /> B. On June 30, 2011, the Parties executed Amendment No. 1 to the <br /> Agreement, extending the terms of the Agreement an additional three years effective <br /> July 1, 2011 through June 30, 2014; and <br /> C. The Parties have negotiated and agreed to amendments attached hereto <br /> and incorporated herein by reference as Exhibits A-E. <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> 1. That the Agreement, as may have been amended from time to time, is <br /> hereby extended for a period of one year ending on June 30, 2015. <br /> 2. Paragraph 2 of the Agreement entitled "Term of Agreement" is hereby <br /> deleted in its entirety and replaced with the following: <br /> "2. Term of Agreement. The term of this agreement shall be for one <br /> year, commencing on July 1, 2014 and shall expire on June 30, 2015, or until <br /> terminated by sixty (60) days prior written notice by either party." <br /> 3.
