ORIGINAL <br /> AMENDMENT NO. 5 TO EXTEND AND AMEND AGREEMENT FOR URBAN DESIGN <br /> AND PLANNING CONSULTANT SERVICES <br /> (Bottomley Associates) <br /> This Am dm nt No. 5 is entered into and effective as of the �� day of <br /> __________ __ _ ___, 2012, extending and amending the agreement dated June <br /> 20, 2008 (th " greement") by and between the City of Redwood City, a charter city and <br /> �, municipal c ration of the State of California ("City"), and Bottomley Associates, <br /> ("Consultant") (collectively, the "Parties") for the Stanford in Redwood City Precise Plan. <br /> RECITALS <br /> A. On June 20, 2008, the Parties executed the Agreement for Urban Design <br /> and Planning Consultant Services; and <br /> B. The Parties have negotiated and agreed to amendments attached to and <br /> incorporated in by reference as Exhibit "A," Scope of Services and Fee. <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> 1. In addition ta those services contained in the Agreement, as may have <br /> been amended from time to time, Consultant will provide those services described in <br /> Exhibit "A." With this Amendment, the total annual Agreement amount shall not exceed <br /> One Hundred Fifty Nine Thousand Four Hundred Twelve Dollars ($159,412). <br /> 2. City will pay Consultant' for all work associated with those services <br /> described in Exhibit "A" on a time and materials basis not-to-exceed Twelve Thousand <br /> Three Hundred Sixty Four pollars ($12,364), for an aggregate amount of ($159,412). <br /> Consultant will provide City, on a monthly basis, copies of invoices sufficiently detailed <br /> to include hours perFormed, hourly rates, and related activities and costs for approval by <br /> City. <br /> 3. Consultant will complete all work described in Exhibit "A". <br /> 4. All other provisions of the Agreement, as may have been amended from <br /> time to time, will remain in full force and effect. <br /> 5.
