<br />ORIGINAL <br /> <br />AGREEMENT <br />FOR <br />INFORMATION TECHNOLOGY SUPPORT BETWEEN THE CITY OF <br />REDWOOD CITY AND TOWN OF LOS ALTOS HILLS <br /> <br />THIS AGREEMENT is made and entered into this 24th day of June, 2008, by and between <br /> <br />the CITY OF REDWOOD CITY, hereinafter referred to as "RWC", and TOWN OF LOS ALTOS <br /> <br />HILLS, hereinafter referred to as "LAH," and collectively herein called the "Parties." <br /> <br />RECITALS <br /> <br />This Agreement is entered into with reference to the following facts and circumstances: <br />WHEREAS, LAH desires to engage RWC to render certain Information Technology <br />services to LAH related to carrying on the day to day technology related operations of LAH; and <br />WHEREAS, RWC is qualified to provide such services to LAH; and <br />WHEREAS, LAH has elected to engage the services of RWC upon the terms and <br />conditions as hereinafter set forth. <br /> <br />TERMS AND CONDITIONS <br /> <br />1. Services. <br /> <br />The services to be performed by RWC under this Agreement shall include those <br />services set forth in Exhibit A, which is by this reference incorporated herein and made a part <br />hereof as though it were fully set forth herein. <br />Performance of the work specified in said Exhibit A is hereby made an obligation of <br />RWC under this Agreement, subject to any changes that may be made subsequently hereto upon <br />the mutual written agreement of said Parties. <br />Where in conflict, the terms of this Agreement supersede and prevail over any terms <br />set forth in Exhibit A. <br /> <br />2.
