THIS AMENDMENT NO. 1 TO THE DISPOSITION AND DEVELOPMENT AGREEMENT (this "Amendment No.1") is entered into by and between the REDEVELOPMENT AGENCY OF THE CITY OF REDWOOD CITY (the "Agency") and PENINSULA HABITAT FOR HUMANITY, a California non-profit corporation (the "Developer"), and is dated as of the ~~ day of May , 2008. R E C I TAL S WHEREAS, the Agency and the Developer (sometimes hereinafter collectively referred to as the "Parties") previously entered into that certain Disposition and Development Agreement By and Between Redevelopment Agency of the City of Redwood City and Peninsula Habitat for Humanity, A California non-profit corporation, bearing the date of March 14, 2005 (the "DDA"), and recorded as Document No. .~7' la~l(ot> in the official records of the County of San Mateo, California; and WHEREAS, it has come to the attention of the Parties that the Developer requires additional assistance from the Agency in order to complete the Project; and WHEREAS, the Parties now deem it desirable to make certain changes to the DDA for purposes of increasing the amount of assistance provided to the Developer pursuant to the DDA and making certain clarifications to the DDA. NOW, THEREFORE, THE PARTIES HERETO AGREE AS FOLLOWS: Section 1. The recitals set forth above are true and correct and incorporated herein by this reference. Section 2. Except as hereby amended, the DDA is in all respects ratified and confirmed and all of the terms, provisions and conditions thereof shall be and remain in full force and effect. Section 3. Except as otherwise provided herein, all terms not otherwise defined in this Amendment No. 1 shall have the same meanings in this Amendment No. 1 as those terms that are assigned in the DDA.
