<br />Grantee shall conduct all activities on the Easement Area in accordance with all
<br />governmental laws and regulations and all work done shall conform to all
<br />applicable building, fire, and sanitary laws, ordinances, and regulations relating to
<br />such work, and shall be done in a good and workman like manner. In conducting
<br />its activities on the Easement Area, Grantee shall use extreme care in
<br />maintaining the integrity and safety of the Easement Area and all parties present
<br />on or at the property of which the Easement Area forms a part. Grantee shall, at
<br />its sole cost and expense, repair and restore any damage or injury to the servient
<br />estate or any structure, improvement or property located thereon at any time
<br />caused in whole or in part by Grantee, anyone directly or indirectly employed by
<br />Grantee or anyone by whose acts Grantee maybe be liable.

<br />Grantee shall indemnify and hold Grantor, its members, managers, lenders,
<br />agents, employees, officers, successors and assigns, and the Westport Property
<br />free and harmless from and against any and all claims, actions, causes of action,
<br />suits, obligations, liens, proceedings, costs, including attorneys' fees, judgments,
<br />orders, decrees, damages, or liabilities of any type or kind arising out of or in any
<br />way connected with Grantee's entry onto the Westport Property (including the
<br />Easement Area), its exercise of its rights under this Grant of Easement, and/or
<br />any act, omission or other conduct of the Grantee or any agents, contractors,
<br />invitees, licensees or other representatives of Grantee, or its successors in
<br />interest on, under, in or at the Westport Property, including the Easement Area
<br />and/or the property of which it forms a part.

<br />Any notice, demand or request required or permitted hereunder shall be given in
<br />writing at the addresses set forth below by any of the following means: (a)
<br />personal service; (b) telephonic facsimile with telephonic confirmation of receipt;
<br />(c) nationally recognized overnight commercial mail service; or (d) registered or
<br />certified, first class U.S. mail, return receipt requested. Until otherwise changed
<br />as provided herein, the respective address of each party is as follows:
