6.2A Page 3 Seventh Amendment for a period of ninety-nine days to September 30, 2003 ("Termination Date"); and WHEREAS, on or about March 14, 2006, Redwood Shores Properties signed the Assignment and Assumption Agreement for Development Agreement GID 1-64 with Redwood Shores Properties, LLC, and sold all of Area H to a third party purchaser, Max Keech (Keech Properties, LLC); and WHEREAS, the City, District, and Keech Properties, LLC executed the Ninth Amendment to extend the term of the Agreement to provide for the orderly completion of the Redwood Shores Project to September 30, 2009; and WHEREAS, the City, the District and Keech desire to modify the Agreement in order to (i) specify the scope of facilities and improvements that need to be constructed in connection with the development of Area "H", (ii) specify the extent to which the Fund will be used to reimburse Keech for the construction of such facilities and improvements, and (Hi) effectively segregate the rights and obligations of the parties under the Agreement as they relate to Area "W from all other rights and obligations under the Agreement; and WHEREAS, the proposed amendments to the Agreement do not change, alter, or in any way affect the general plan land use designation and zoning of the real property known and referred to as Area "H", and as such, there is no need for these amendments to be presented to the Planning Commission for a determination regarding general plan conformance as required by California Government Code 65867; and WHEREAS, pursuant to Government Code sections 65864-65869.5, as the same now exists or hereinafter is amended, a public hearing was held on the proposed Amendment to Ninth Amendment to and Restatement of Development Agreement.
