<br />08/25/2008 <br /> <br />5. Budl!ets and Financinl!. <br /> <br />5.1 The Board annually shall adopt, by a date HEART designates by resolution, an operating <br />budget for HEART setting forth anticipated expenses, financing sources and proposed service <br />levels necessary to carry out the purposes of this Agreement. The budget for HEART shall <br />distinguish between Administrative costs (i.e., the cost of operating HEART) and Program costs <br />(Le., the financing of the programs funded or sponsored by HEART). HEART shall establish its <br />fiscal year by resolution. Immediately after approving the annual budget, the Board shall <br />recommend the budget to the governing bodies of the Member Agencies. The Board shall secure <br />from each Member Agency contributions, appropriations and/or commitments to contribute <br />services or other consideration in accordance with each Member Agency's obligations as <br />determined by the Board as set forth in this Agreement. It is expressly agreed and understood <br />that the Board has no authority to bind any governing board of any Member Agency to make the <br />recommended contribution, appropriation and/or commitment and that this decision rests solely <br />with each governing body. Each Member Agency shall deposit its monetary contribution to the <br />budget with the HEART Treasurer on or before the date HEART designates by resolution. <br />Contributions from private persons or entities and not-for-profit entities, whether or not their <br />interests are represented by any At Large Directors, are acceptable so long as they do not cause a <br />violation of any applicable conflict of interest statutes, rules or regulations. <br /> <br />5.2. In consideration of the mutual promises contained herein, the parties agree that they shall <br />make the following annual contributions towards the Administrative budget of HEART: <br />Initially, the County of San Mateo has or will, make available up to Seventy-Five Thousand <br />Dollars ($75,000) for the Administrative budget during the start up and initial work of HEART. <br />Thereafter, funds required for the Administrative budget shall be provided by the contribution of <br />each Member Agency and each Member Agency's contribution shall be its pro-rata share of the <br />revenue needed for the Administrative budget as adopted by the Board of Directors. The pro- <br />rata share of each Member Agency shall be based upon its population as then currently in use by <br />City/County Association of Governments of San Mateo County (C/CAG). By unanimous vote, <br />under special circumstances, the Board of Directors may waive one or more Member Agency's <br />contribution.
