6.1C Page 24 ATTACHMENT 1 30.12 Counteroarts; Facsimile. This Agreement may be executed by facsimile and/or in one or more counterparts, each of which shall be deemed an original, and all of which taken together shall constitute one and the same instrument. 30.13 GoverninQ Law. This License shall be governed and construed in accordance with the statutes and laws of the State of California. 30.14 Venue. In the event that suit shall be brought by any Party to this License, the Parties agree that venue shall be exclusively vested in the State courts of the County of San Mateo. 30.15 Accord and Satisfaction. No payment by Licensee or receipt by Licensor of a lesser amount than the license fee herein stipulated shall be deemed to be other than on account of the earliest stipulated license fee, nor shall any endorsement or statement on any check or any letter accompanying any check or payment as license fee be deemed an accord and satisfaction, and Licensor may accept such check or payment without prejudice to Licensor's right to recover the balance of such license fee or pursue any other remedy in this Agreement provided. 30.16 Permits and Aoorovals. All government permits or approvals are required. Approval by Licensor of any action requiring approval does not constitute approval by the City of Redwood City of any required permits or applications, and in no way limits the discretion of the City in the permit, regulatory, and approval process. Licensor and Licensee will render to each other reasonable assistance in obtaining necessary City and other governmental permits or approvals. Any consent or approval of the City of Redwood City for any permit, application, or regulatory matter does not constitute consent or approval by the Licensor under the terms of this license. 31. AMENDMENT 31.1 The terms of this Agreement may be amended only in writing and by mutual agreement between the City and the Licensee. 32. COMPLIANCE WITH LAWS 32.1 The Parties hereto shall comply with all applicable laws, ordinances, codes and regulations of the federal, state and local governments in the performance of their rights, duties and obligations under this License, including all applicable laws, ordinances, codes and regulations pertaining to the storage, handling, preparation and service of food. 33. AUTHORITY 33.1 All individuals executing this Agreement on behalf of the parties to this Agreement represent and warrant that they are authorized to execute and deliver this License on behalf of their respective party to this Agreement and that this License is binding upon said party to this Agreement.
