6.1E Page 17 to. TERMINATION RCSD may at any time terminate this Agreement upon written notice to CONTRACTOR. RCSD shall compensate CONTRACTOR for services satisfactorily provided through the date of termination, subject to contingency provision in Section 12. In addition, RCSD may terminate this agreement for cause should CONTRACTOR fail to perform any part of this Agreement. In the event of termination for cause, RCSD may secure the required services from another contractor. If the cost to RCSD exceeds the cost of providing the services pursuant to this Agreement, CONTRACTOR shall pay the additional cost. 11. COMPENSATION The CONTRACTOR agrees to perform all the services of this agreement for an amount not to exceed $ 179,583.75, subject to contingency provision on section 12. Requirements for compensation for this agreement are described in Attachment B. 12. CONTINGENCY Notwithstanding the foregoing, or any language to the contrary, the RCSD and CONTRACTOR agree and acknowledge that this agreement and the parties' respective obligations thereunder are entirely contingent upon the RCSD receipt of anticipated California Department of Education, 21 Sl Century Community Leaming Centers Program funds from Cohort 5 - 2008-09, in an amount sufficient to cover the sum set forth above, and that if a grant award letter has not been received by close of business on December 31, 2008, this Agreement shall be null and void, with no penalty to either party. 13. PAYMENT The CONTRACTOR shall submit an invoice detailing the services performed during the billing period at the end of each semester. Payment of invoice(s) is subject to the contingency provision on Section 12. The CONTRACTOR is responsible to comply with all state and federal tax requirements and is the CONTRACTOR'S sole responsibility . 14. COMPLETENESS OF AGREEMENTi This Agreement constitutes the entire understanding of the parties and any changes shall be agreed to in writing.
