BOX 391 <br />1017 MIDDLEFIELD ROAD <br />REDWOOD CITY, CA 94064 <br /> <br />AMENDMENT TO <br />NINTH AMENDMENT TO AND RESTATEMENT OF <br />DEVELOPMENT AGREEMENT <br />(TENTH AMENDMENT) <br /> <br />This AMENDMENT TO NINTH AMENDMENT TO AND RESTATEMENT OF <br />V L NT AGREEMENT ("Tenth Amendment") is entered into as ofthia(day of <br />,2008 by and between KEECH PROPERTIES, LLC, a California limited liability <br />co any "Keech), and the CITY OF REDWOOD CITY, a municipal corporation of the State of <br />Cali ornia ("City"), for itself and for and on behalf of the REDWOOD CITY GENERAL <br />IMPROVEMENT DISTRICT NO. 1-64 ("District"). <br /> <br /> <br />RECIT ALS <br /> <br />A. Redwood Shores, Inc., a California corporation ("Redwood Shores"), the City and <br />the District entered into that certain Development Agreement GID 1-64 dated June 16,1982 <br />("Original Development Agreement"), which Original Development Agreement was recorded on <br />July 8, 1982, as Document No. 82057195 in the Official Records of San Mateo, California <br />('Official Records"). The real property which is subject to the Original Development Agreement <br />includes all that real property owned by Redwood Shores as of June 23, 1982 and located within <br />those areas designated as Redwood Peninsula Areas A through I, inclusive, including, without <br />limitation, the real property owned by Keech and commonly known as Area H ("Area H"). The <br />Original Development Agreement was amended by that certain Amendment to Development <br />Agreement GID 1-64 between the City, the District and Redwood Shores dated May 22,1984 <br />and recorded September 17, 1984 as Document No. 84101669 in the Official Records (the "First <br />Amendment"), further amended by that certain Second Amendment to Development Agreement <br />between the City, the District, Redwood Shores and Redwood Shores Properties, a California <br />general partnership ("RSP") dated June 19, 1990 and recorded June 19, 1990 as Document No. <br />90082412 in the Official Records (the "Second Amendment"), further amended by that certain <br />Third Amendment to Development Agreement between the City, the District and RSP dated <br />September 3, 1997 and recorded on September 25,1997 as Document No. 97122586 in the <br />Official Records (the "Third Amendment"), further amended by that certain Fourth Amendment <br />to Development Agreement between the City, the District and RSP dated June 20,2002 and <br /> <br />A TTY I AGR/ Amendmentsffenth Amendment of Development Agreement OlD 1-64 <br />072308 <br /> <br />1 <br />
