<br />! .' .. <br /> <br />ORIGINAL <br /> <br />AGREEMENT <br />FOR <br />INFORMATION TECHNOLOGY SUPPORT BETWEEN THE CITY OF <br />REDWOOD CITY AND THE CITY OF SARATOGA <br /> <br />THIS AGREEMENT is made and entered into this '1+l-> day of Aut~~ , 2008, by and <br /> <br /> <br />between the CITY OF REDWOOD CITY, hereinafter referred to as "RWC" , and the CITY OF <br /> <br />SARATOGA, hereinafter referred to as "COS," and collectively herein called the "Parties." <br /> <br />RECITALS <br /> <br />This Agreement is entered into with reference to the following facts and circumstances: <br />WHEREAS, cas desires to engage RWC to render certain Information Technology <br />services to cas related to carrying on the day to day technology related operations of cas; and <br />WHEREAS, RWC is qualified to provide such services to cas; and <br />WHEREAS, cas has elected to engage the services of RWC upon the terms and <br /> <br />conditions as hereinafter set forth. <br /> <br />TERMS AND CONDITIONS <br /> <br />1. Services. <br /> <br />The services to be performed by RWC under this Agreement shall include those <br />services set forth in Exhibit A, which is by this reference incorporated herein and made a part <br />hereof as though it were fully set forth herein. <br />Performance of the work ~pecified in said Exhibit A is hereby made an obligation of <br />RWC under this Agreement, subject to any changes that may be made subsequently hereto upon <br />the mutual written agreement of said Parties. <br />Where in conflict, the terms of this Agreement supersede and prevail over any terms <br />set forth in Exhibit A. <br /> <br />2.
