ORIGINAL <br /> AMENDMENT NO. 3 TO EXTEND AND AMEND AGREEMENT FOR <br /> ENVIRONMENTAL CONSULTING SERVICES <br /> (Moore, lacofano, Goltsman, Inc.) <br /> � This Ame dment No. 3 is entered into and effective as of the � day of <br /> ��2� '�,��` , 2012, extending and amending the agreement dated <br /> September 19, 2008 (the "AgreemenY') by and between the City of Redwood City, a <br /> charter city and municipal corporation of the State of California ("City"), and Moore, <br /> lacofano, Goltsman, Inc. ("Consultant"), (collectively, the "Parties") for the "Stanford in <br /> Redwood City Project." <br /> RECITALS <br /> A. On September 19, 2008, the Parties executed Agreement for <br /> Environmental Consulting Services; and <br /> B. On March 16, 2010, the Parties executed Amendment No. 1 to Agreement <br /> for Environmental Consulting Services; and <br /> C. On June 20, 2011, the Parties executed Amendment No. 2 to Agreement <br /> for Environmental Consulting Services; and <br /> D. The Parties have negotiated and agreed to amendments attached to and <br /> incorporated in by reference as Exhibit "A," Scope of Services and Fee. <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> 1. In addition to those services contained in the Agreement, as may have <br /> been amended from time to time, Consultant will provide those services described in <br /> Exhibit "A." With this Amendment, the total annual Agreement amount shall not exceed <br /> Eighty Six Thousand Four Hundred Six Dollars and Eighteen Cents ($86,406.18). <br /> 2. City will pay Consultant for all work associated with those services <br /> described in Exhibit "A" on a time and materials basis not-to-exceed Eighty Six <br /> Thousand Four Hundred Six Dollars and Eighteen Cents ($86,406.18), for an aggregate <br /> amount of ($591,371.08). Consultant will provide City, on a monthly basis, copies of <br /> invoices sufficiently detailed to include hours performed, hourly rates, and related <br /> activities and costs for approval by City. <br /> 3. Consultant will complete all work described in Exhibit "A" by the <br /> completion of performances of services hereunder by Consultant. <br /> 4.
