EXHIBIT A

1. DEFINITION OF SERVICES

The Services that will be provided by Contractor will include but not be limited to:

. Meet with ESF II partners (Kennedy Middle, Hoover Elementary and Sequoia
High schools, Acterra, Marine Science Institute, Save The Bay, Santa Clara
County Office of Outdoor Education - Walden West, and San Mateo County
Office of Outdoor Education - Jones Gulch) on a quarterly basis to track partner
progress on quarterly milestones outlined in each partners' memorandum of
understanding. In addition, work with each partner between quarterly check-ins
to help problem solve or assist in implementation of strategies outlined in
memorandum of understanding.

. Report updates and findings to Center for Venture Philanthropy staff on a
monthly basis in the form of emails, in-person or telephone meetings.

. Convene at least two meetings that bring together all ESF II partners to build
relationships, discuss current work (successes and challenges), and strategize
around future work. Lead the discussion, design and planning of the meetings.

. Assist Center for Venture Philanthropy staff in evaluation work and
dissemination of evaluation findings.

. Assist Center for Venture Philanthropy staff in sharing curriculum and program
elements developed with ESF II partners with Redwood City School District and
Sequoia Unified High School District. Promote dialog among partners and
Districts to further explore how products developed might be incorporated into
each District's educational program during or after school beyond ESF II
funding.

. Help lead strategy work with Center for Venture Philanthropy staff to identify
ways to sustain ESF II's work in building a continuum or environmental
education experiences for youth in Redwood City in future years.

. Connect nonprofits partners with schools, and help to ensure the delivery of
nonprofits services in participating ESF II schools and/or extended learning
programs (Hoover Elementary, Kennedy Middle, and Sequoia High schools).

. Provide technical, advisory and support services to the ESF II partners to carry
out the purpose of year three goals stated in each partners' memorandum of
understanding. This last bullet seems somewhat redundant with the first.
