<br />J ' <br /> <br />ORIGINAL <br /> <br />AMENDMENT NO.1 TO EXTEND AND AMEND AGREEMENT FOR <br />ASPHALT CONCRETE MATERIALS PURCHASE <br />WITH GRANITEROCK COMPANY <br /> <br />~iS A~dment No.1 is entered into and effective as of the V. day of <br />~ ( , 2010, extending and amending the "Agreemerltfor the City <br />of Redwo d City' 2008-2009 Asphalt Concrete Materials Purchase dated October 6, <br />2008 (the "Agreement") by and between the City of Redwood City, a charter city and <br />municipal corporation of the State of California ("City"), and Graniterock Company, <br />("Supplier") (collectively, the "Parties"). <br /> <br />RECITALS <br /> <br />A. The Parties desire to extend and fund the Agreement for a period of one <br />year beginning September 1, 2009 through August 30, 2010. <br /> <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br /> <br />1. In addition to services, supplies and materials contained in the Agreement, <br />as may have been amended from time to time, Supplier will continue to provide those <br />services, supplies and materials described in Exhibit "A" of the Agreement. With this <br />Amendment, the aggregate Agreement amount shall not exceed Four Hundred Seventy <br />Thousand dollars ($470,000.00). <br /> <br />2. City will pay Supplier for all work associated with those services, supplies <br />and materials described in Exhibit "A" of the Agreement on a time and materials basis <br />not-to-exceed Two Hundred Fifty Thousand dollars ($250,000.00). Supplier will provide <br />City, on a monthly basis, copies of invoices sufficiently detailed to include hours <br />performed, hourly rates, unit costs, pick up costs, and related activities and costs for <br />approval by City. <br /> <br />3. Supplier will complete all work described in Exhibit "A" within the current <br />agreement year as stated in the recitals, and shall provide the materials ordered when <br />requested by the City. <br /> <br />4. All other provisions of the Agreement, as may have been amended from <br />time to time, will remain in full force and effect. <br /> <br />5. All requisite insurance policies to be maintained by the Supplier pursuant <br />to the Agreement, as may have been amended from time to time, will include coverage <br />for this Amendment. <br /> <br />6.
