<br />ORIGINAL <br /> <br />AMENDMENT NO.2 TO EXTEND AND AMEND AGREEMENT FOR <br />ASPHALT CONCRETE MATERIALS PURCHASE <br />WITH GRANITEROCK COMPANY <br /> <br />This A endment No. 2 is entered into and. effective as of the l day of <br />> , 2010, extending and amending the "Agreement for the City <br />of Redwood it 20 8-2009 Asphalt Concrete Materials Purchase dated October 6, <br />2008 (the "Agreement") by and between the City of Redwood City, a charter city and <br />municipal corporation of the State of California ("City"), and Graniterock Company, <br />("Supplier") (collectively, the "Parties"). <br /> <br /> <br />RECITALS <br /> <br />A. On October 6, 2008, the parties executed the Agreement for Asphalt <br />Concrete Materials Purchase with Graniterock Company; and on August 24, 2009, the <br />parties executed Amendment No.1 to the Agreement. <br /> <br />B. The Parties desire to extend and fund the Agreement for a period of one <br />year beginning September 1, 2010 through August 30, 2011. <br /> <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br /> <br />1. In addition to services, supplies and materials contained in the Agreement, <br />as may have been amended from time to time, Consultant will continue to provide those <br />services, supplies and materials described in Exhibit "A" of the Agreement. With this <br />Amendment, the aggregate Agreement amount shall not exceed Five Hundred <br />Thousand dollars ($500,000.00). <br /> <br />2. City will pay Consultant for all work associated with those services, <br />supplies and materials described in Exhibit "A" of the Agreement on a time and <br />materials basis not-to-exceed Thirty Thousand dollars ($30,000.00). Consultant will <br />provide City, on a monthly basis, copies of invoices sufficiently detailed to include hours <br />performed, hourly rates, unit costs, pick up costs, and related activities and costs for <br />approval by City. <br /> <br />3. Consultant will complete all work described in Exhibit "A" within the current <br />agreement year as stated in the recitals, and shall provide the materials ordered when <br />requested by the City. <br /> <br />4. All other provisions of the Agreement, as may have been amended from <br />time to time, will remain in full force and effect. <br /> <br />5. All requisite insurance policies to be maintained by the Consultant <br />pursuant to the Agreement, as may have been amended from time to time, will include <br /> <br />Amend No.2 Asphalt Materials Purchase Graniterock <br />060710 1 <br />
