<br />6.3A <br />Page 5 <br /> <br />ATTACHMENT A <br /> <br />IMPLEMENTATION AGREEMENT NO.3, <br />BETWEEN BAY AREA CLEAN WATER AGENCIES AND <br />CITY OF REDWOOD CITY <br /> <br />THROUGH TIllS IMPLEMENTATION AGREEMENT ("Implementation <br />Agreement"), entered into by and between Bay Area Clean Water Agencies <br />("BACW A"), a Joint Powers Authority existing under the laws of the State of California, <br />and City of Redwood City, a Charter city in the County of San Mateo, State of California, <br />duly organized, existing, and acting pursuant to the Jaws thereof, ("Project Sponsor"), the <br />parties hereby agree as follows: <br /> <br />A. WHEREAS, BACWA is a Joint Powers Authority existing under the laws of the <br />State of California and consisting of various wastewater agencies in the San Francisco <br />Bay Area Region; and <br /> <br />B. WHEREAS, on behalf of numerous water entities in the San Francisco Bay Area <br />(individually referred to herein as "Water Entity"; collectively referred to herein as the <br />"Participating Water Entities"), BACWA agreed to apply for a Proposition 50 Chapter 8 <br />Grant from the Department of Water Resources, State of California ("DWR"), that would <br />be used to help fund the implementation and operation of various regional water <br />conservation, water recycling, desalination and groundwater projects to be carried out by <br />the Participating Water Entities; each of the Participating Water Entities is a public entity <br />with state grant experience; Project Sponsor is one of the Participating Water Entities; <br />and <br /> <br />C. WHEREAS, in March of 2007, pursuant to BACW A's request made on behalf of <br />the Participating Water Entities, DWR awarded BACWA a grant for $12,500,000 in <br />State funding and over $100,000,000 in matching funds (the "State Grant"); each of <br />the Participating Water Entities wilt be recipients of the State Grant funds and will be the <br />entities responsible for cost-matching required under the State Grant; the grant period <br />will extend from March 20, 2007-the date of the Letter of Conditional A ward-until <br />2014, when the lengthiest projects will wind down and grant closeout activities can be <br />completed; the period of greatest activity under the State Grant is expected to be 2008, <br />when all projects are expected to be active; and <br /> <br />D. WHEREAS, the process by which the State Grant funds will be disbursed by <br />DWR to BACWA is governed by way of that certain Grant Agreement entered into by <br />and between DWR and BACW A titled Agreement No. 4600007654 (the "State <br />Agreement"), a true and correct copy of which is attached hereto and incorporated herein <br />as Exhibit "Ani; the funds of the State Grant are reimbursable, in that each discrete <br />project and all eligible administration costs will be reimbursed by DWR after the cost has <br /> <br />I A true and correct copy of llJl unexecuted version of the State Agreement is attached hereto and <br />incorporated herein as Exhibit "A". Each ofthe Participating Water Entities, including Project Sponsor, <br />hereby agrees to abide by the final, executed version of the State Agreement, even if that fmal version is <br />different from the unexecuted version that is attached hereto as Exhibit "A". <br /> <br />{OO907092} <br />
