<br />6.3A <br />Page 32 <br /> <br />final jurisdiction, all other provisions of this Implementation Agreement shall be <br />construed to remain fully valid, enforceable, and binding on BACW A and Project <br />Sponsor. <br /> <br />76. SUCCESSORS AND ASSIGNS: This Implementation Agreement and aU of its <br />provisions shall apply to and bind the successors and assigns of BACW A and <br />Project Sponsor. No assignment or transfer of this Implementation Agreement or <br />any part thereof, rights hereunder, or interest herein by Project Sponsor shall be <br />valid unless and until it is approved by BACW A and made subject to such <br />reasonable terms and conditions as BACW A may impose. <br /> <br />77. PERFORMANCE EVALUATION; Project Sponsor acknowledges and accepts <br />that, pursuant to Paragraph 23 of the State Agreement, BACW A's performance <br />under the State Agreement will be evaluated by DWR after completion.
