<br />Binding Effect <br /> <br />Section 5.10. This Agreement shall be binding on and inure to the benefit of the <br />parties to this Agreement and their heirs, personal representatives, successors, <br />and assigns, except as otherwise provided in this Agreement. <br /> <br />Governing Law <br /> <br />Section 5.11 this agreement and the legal relations between the parties shall be <br />governed by and construed in accordance with the laws of the State of California. <br /> <br />-Headings <br /> <br />Section 5.12 The headings of the articles and sections of this Agreement are <br />inserted for convenience only.
