<br />WHEREAS, the following exhibits are attached hereto and incorporated herein <br />by reference: <br /> <br />Exhibit A: Program Services <br />Exhibit B: Compliance With California Labor Laws and federal <br />requirements <br /> <br />NOW, THEREFORE, IT IS HEREBY AGREED BY THE PARTIES AS <br />FOllOWS: <br /> <br />1. SERVICES TO BE PERFORMED <br /> <br />CHDO, under the general direction of the Housing Coordinator or her authorized <br />representative, shall perform services as described in Exhibit "A" in consideration of the <br />payments hereinafter set forth in Exhibit "A," and work shall be performed pursuant to <br />Exhibit "B." <br /> <br />2. PAYMENTS <br /> <br />A. Maximum Amount. In full consideration of CHDO's Performance of the <br />services described in Exhibit A, the amount that the City shall be obligated <br />to pay under this Agreement shall not exceed Two Hundred Thirty-Nine <br />Thousand Seven Hundred Forty Four and 68/100 Dollars ($239,744.68). <br /> <br />B. Rate of Payment. The rate and terms of payment shall be as specified <br />in Exhibit "A." Any change is subject to the approval of the Housing <br />Coordinator or her authorized representative, and shall not be binding on <br />City unless so approved in writing. In no event may the terms of payment <br />be changed to the extent that the maximum City and Agency obligation <br />shall exceed the total specified in Paragraph 2A above. Each payment <br />shall be conditioned on the performance of the services described in <br />Exhibit A to the full satisfaction of the Housing Coordinator or her <br />representative. <br /> <br />C. Time limit for Submittina Invoices. CHDO shall submit a final invoice <br />for payment no later than July 30, 2010. <br /> <br />D. Standard of Service. CHDO warrants to City that it will use and account <br />for all funds provided hereunder strictly in accordance with standards <br />governing the use of, and accountability for, funds held and disbursed in <br />trust. CHDO's program funded hereunder shall conform to the highest <br />standards providing for programs of similar or like nature in the San <br />Francisco Bay Area. CHDO shall be responsible for, and hold City and <br />Agency harmless from, any failure to adhere to such standards. CHDO <br />shall verify that all activities funded hereunder benefit only HOME <br />residents within the project.
