<br />ORIGINAL <br /> <br />AGREEMENT FOR PROFESSIONAL CONSULTING SERVICES <br />(Valerie J. Young, AICP, Environmental Planning and Water Reuse Consultant) <br /> <br />HIS AGREEMENT is made and entered into as of the 'n day of <br />, 2009, by and between the REDW50D CITY <br />R LOPME T AGENCY, a public body, corporate and politic, duly organized and <br />existing under e laws of the State of California C1Agency"), and Valerie J. Young, <br />AICP, an independent consultant, ("Consultant") (collectively, the "Parties"). <br /> <br /> <br />RECITALS <br /> <br />A. Agency requires the professional services of a of a planning services <br />consultant that is experienced in environmental planning, water reuse, and California <br />Environmental Quality Act compliance. <br /> <br />B. Consultant has the necessary experience in providing professional <br />services and advice related to the preparation of i) the City's response to the California <br />High-Speed Rail Authority's Notice of Preparation for the San Francisco to San Jose <br />High-Speed Train system EIRlEIS, ii) to serve as an interview panelist for the City's <br />CDS Director recruitment process, and iii) to assist with the review of large private <br />development applications for the City. <br /> <br />C. Selection of Consultant is expected to achieve the desired results in an <br />expedited fashion. <br /> <br />D. Consultant has submitted a proposal to Agency and has affirmed its <br />willingness and ability to perform such work. <br /> <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br /> <br />1. ScoDe of Work. Agency retains Consultant to perform, and Consultant agrees to <br />render, those services (the IIServicesll) that are defined in attached Exhibit "A, II which is <br />incorporated by this reference in accordance with this Agreement's terms and <br />conditions. <br /> <br />2. Standard of Performance. While performing the Services, Consultant will <br />exercise the reasonable professional care and skill customarily exercised by reputable <br />members of Consultanfs profession practicing in the Metropolitan Northern California <br />Area, and will use reasonable diligence and best judgment while exercising its <br />professional skill and expertise. <br /> <br />3. Term. Unless earlier terminated, the term of this Agreement will commence upon <br />the date first above written and shall expire upon completion of performance of Services <br />hereunder by Consultant. <br /> <br />A TTY/AG R/2009. 005 <br />021209 <br /> <br />1 <br />
