<br />the performance of any of the terms hereof, Lessor may proceed directly against Lessee <br /> <br />without the necessity of exhausting remedies against said assignee. Lessor may consent <br /> <br />to subsequent assignments or subletting of this Lease or amendments or modifications to <br /> <br />this Lease with assignees of Lessee, without notifying Lessee, or any successor of Lessee, <br /> <br />and without obtaining Lessee's consent thereto. <br /> <br />11.03 Waiver of Lessor's Lien. Lessor waives any lien rights it may have <br /> <br />concerning the Lessee's Facilities which are deemed Lessee's personal propeliy and not <br /> <br />fixtures, and Lessee has the right to remove the same at any time without Lessor's <br /> <br />consent. In addition, Lessor acknowledges that Lessee may finance the Lessee's <br /> <br />Facilities (the "Collateral"). In connection therewith, Lessor (i) consents to the <br /> <br />installation of the Collateral; (ii) disclaims any interest in the Collateral, as fixtures or <br /> <br />otherwise; and (iii) agrees that the Collateral shall be exempt from execution, foreclosure, <br /> <br />sale, levy, attachment, or distress for any rent due or to become due and that such <br /> <br />Collateral may be removed at any time without recourse to legal proceedings. <br /> <br />11.04 Lessor's Consent to Assignment. Lessor consents to the assignment by <br /> <br />Lessee of this Lease as security for the payment of all indebtedness and perfonnance of <br /> <br />obligations under the promissory notes and Financing and Security Agreement <br /> <br />evidencing the financing referred to in paragraph 11.03 above; provided that said <br /> <br />assignee, under the aforementioned promissory notes and Financing and Security <br /> <br />Agreements, assumes all right, obligations, and interests of Lessee under this Lease <br /> <br />Agreement. <br /> <br />12.
