<br />b. At no time shall the City be under any obligation to disburse money <br />to Redwood City 2020 in excess of the amount on deposit. The Cabinet <br />acknowledges that money received by the City will not be available for <br />disbursement for three (3) business days after the funds have been deposited by <br />City, or for a longer period, as deemed appropriate by City's Finance Director. <br /> <br />6. Hold Harmless. The County of San Mateo("indemnitor") <br />hereby agrees to defend, indemnify, and save harmless each partner organization of <br />the Redwood City 2020 collaborative and its respective governing board, council, <br />officers, boards commissions, agents, and employees (collectively, "lndemnitees") <br />against and from any and all claims, suits, actions of every name, kind and description, <br />which may be brought against Indemnitees, or any of them, by reason of any injury to, <br />or death of, any person (including corporations, partnerships and associations) or <br />damage suffered or sustained by any such person arising from the willful misconduct or <br />any negligent act or omission of the County of San Mateo, any subcontractor, anyone <br />directly or indirectly employed by any of them or anyone for whose acts any of them <br />may be liable, except to the extent caused by the active negligence, sole negligence, or <br />willful misconduct of any partner organization of the Redwood City 2020 collaborative. <br /> <br />7. Acts and Omissions of Executive Director. The acts and omissions of the <br />Executive Director or any other employees, agents or volunteers acting on behalf <br />of Redwood City 2020 shall not in any way be construed as the acts and <br />omissions of the City but shall be deemed as the acts and omissions of the <br />Parties acting jointly. <br /> <br />8. Notices.
