<br />19.10 Attornevs' Fees. If either party named herein brings an action to enforce <br /> <br />the terms hereof, or declare rights hereunder, the prevailing party in any such action, on <br /> <br />trial or appeal, shall be entitled to its reasonable attorneys' fees and court costs to be paid <br /> <br />by the losing party. <br /> <br />19.11 Consent. Whenever under this Lease the consent or approval of either <br /> <br />party is required, or a determination must be made by either party, no such consent or <br /> <br />approval shall be unreasonably withheld, conditioned or delayed and all such <br /> <br />determinations shall be made on a reasonable basis and in a reasonable manner. <br /> <br />19.12 Authority. Each individual executing this Lease on behalf of Lessee and <br /> <br />Lessor represents and warrants that he or she is duly authorized to execute and deliver <br /> <br />this Lease on behalf of said party. <br /> <br />19.13 Captions. The captions used herein are for convenience only and are not a <br /> <br />part of this Lease and do not in any way amplify the terms or provisions hereof. <br /> <br />19.14 Venue: Any controversy or claim arising out of or relating to this <br /> <br />Agreement, or the breach thereof, if brought to court shall be brought in the San Mateo <br /> <br />County Superior Court or, if resolved by arbitration, shall be arbitrated within San Mateo <br /> <br />County. <br /> <br />19.15. Memorandum of Lease: A Memorandum of Lease is marked Exhibit "D" <br /> <br />and is attached hereto and may be recorded by Lessee in the Office of the County <br /> <br />Recorder for San Mateo County. Upon termination of the Lease for any reason, Lessee <br /> <br />shall deliver a Quit Claim Deed in a recordable form to Lessor.
