<br />ORIGINAL <br /> <br />AGREEMENT <br /> <br />PROFESSIONAL CONSULTING SERVICES <br />Communication and Educational Information Support <br />Data Instincts <br /> <br />THIS AGREEMENT, made and entered into this 1fl- day of <br />2009, by and between the CITY OF REDWOOD CITY, a charter city and municipal <br />corporation of the State of California ("City"), and DATA INSTINCTS of Windsor, <br />California ("Consultant") (collectively, the "Parties"). <br />WIT N E SSE T H: <br />WHEREAS, City requires the professional services of a consultant that is <br />experienced in providing information to the public about development applications, <br />specifically the proposed Redwood City Saltworks project; (the "Project"); and <br />WHEREAS, the informational services to be provided by Consultant will be to <br />develop public relations, media relations and website development, as well as facilitate <br />public outreach and manage the flow of information associated with the Project; and <br />WHEREAS, Consultant represents that it possesses the experience, and is <br />qualified to perform the aforesaid services for the Project. <br />NOW, THEREFORE, the Parties hereto agree as follows: <br />1. CONSULTANT'S SERVICES. Consultant shall only perform consulting <br />services described as in Exhibit "A" hereof, attached hereto and by this reference <br />incorporated herein. <br />2. COMPENSATION; EXPENSES; PAYMENT. City shall compensate <br />Consultant for all services performed by Consultant hereunder in an amount based <br />upon Consultant's hourly rates set forth in Exhibit "B" hereof, attached hereto and by <br />this reference incorporated herein. <br />Notwithstanding the foregoing, the combined total of compensation and costs <br />payable hereunder shall not exceed the sum of Fifty Nine Thousand Five Hundred and <br />no/100 dollars ($59,500.00) unless the performance of services and/or reimbursement <br />of costs and expenses in excess of said amounts have been approved in advance of <br />performing such services or incurring such costs and expenses by the City, evidenced <br />by written authorization. <br />ATTY/AGR/2009.016 <br />040209 <br /> <br />
